By using this website or engaging our services, you confirm that you have read and accept these Terms. If you are entering into an engagement on behalf of a business, you confirm that you have authority to bind that business.
Our services are intended for adults of at least 18 years of age with capacity to enter a legal agreement. We do not knowingly work with individuals under 18.
3. Services
We provide business consulting for small business owners based in Malaysia and neighbouring regions. Our current service offerings are as follows:
- Honest Review (RM 340) — one session with a written recap note
- Simplification Review (RM 815) — two sessions across five weeks with a written summary
- Steady Foundation Companion (RM 1,540/year) — a twelve-month arrangement with monthly meetings, quarterly summaries, and between-session support
Service descriptions on this website are intended as a general guide. The scope of any specific engagement will be confirmed in writing before work begins. We reserve the right to adjust our offerings, pricing, or availability at any time, with changes taking effect for new engagements.
4. User Responsibilities
When using this website or engaging our services, you agree to:
- Provide accurate and complete information when submitting enquiries or entering an engagement
- Attend scheduled sessions at the agreed time, or provide reasonable notice if you need to reschedule
- Use any materials, summaries, or written outputs we produce solely for your own business purposes
- Refrain from any conduct that disrupts, misrepresents, or undermines our services or reputation
- Comply with applicable Malaysian law in your use of this website and its content
5. Intellectual Property
All content on this website — including text, layout, branding, and written materials — is the property of Teras Murni or its contributors and is protected under applicable Malaysian intellectual property law.
Written summaries and session notes produced during your engagement are provided for your personal business use. You may not reproduce, distribute, or adapt them for commercial purposes without our written consent.
Nothing in these Terms grants you a licence to use our trade name, logo, or branding.
6. Payment Terms
Fees are stated in Malaysian Ringgit (RM) and are inclusive of applicable taxes unless otherwise noted. Payment terms for each engagement will be confirmed in writing before work begins.
For the Steady Foundation Companion, annual fees are payable as agreed in the engagement letter. For single-session and shorter packages, payment is typically due prior to or at the time of the first session.
Rescheduling and cancellations
- Sessions rescheduled with at least 48 hours' notice will be accommodated without charge
- Sessions cancelled with less than 24 hours' notice may be counted as attended for fee purposes
- We will discuss any unusual circumstances with you fairly before applying these provisions
Refunds
If we are unable to deliver an agreed service, we will arrange a refund or credit for the undelivered portion. Refunds for services already delivered are handled on a case-by-case basis at our discretion.
7. Consulting Specifics
Our consulting services are advisory in nature. We share observations, ask questions, and offer considered perspectives — but decisions about your business remain yours.
- Session notes and written summaries will typically be shared within five business days of the session
- Any scope changes requested by you mid-engagement will be discussed and confirmed in writing
- For the Steady Foundation Companion, the arrangement covers a twelve-month period from the start date; unused sessions do not carry forward beyond the end of the year
- Confidentiality: we treat all information you share with us as strictly confidential and will not disclose it to third parties without your consent, except as required by law
8. Disclaimers
Our services are provided in good faith and based on the information available to us at the time. We do not warrant that any outcome — financial, operational, or otherwise — will follow from acting on our advice.
This website and its content are provided on an "as available" basis. We do not warrant that the website will be free from technical faults or interruptions, and we are not liable for any inconvenience arising from temporary unavailability.
Nothing we provide constitutes legal, financial, accounting, or medical advice. Where specialist professional advice is needed, we encourage you to seek it.
9. Limitation of Liability
To the extent permitted by Malaysian law, our total liability to you in connection with any engagement or use of this website is limited to the fees paid by you for the service giving rise to the claim.
We are not liable for indirect, consequential, or incidental losses — including loss of profit, revenue, or opportunity — arising from your use of our services or this website.
These limitations do not exclude liability for death or personal injury caused by negligence, or for fraudulent misrepresentation.
10. Termination
Either party may end an engagement by providing reasonable written notice. "Reasonable" will depend on the service type: for month-to-month arrangements, one month's notice is generally appropriate; for annual arrangements, see the engagement letter.
We reserve the right to decline or discontinue an engagement where we believe it would not be in the interest of the client or would require us to act contrary to our professional standards.
Provisions relating to payment for services delivered, intellectual property, confidentiality, and liability survive the end of any engagement.
11. Dispute Resolution
These Terms are governed by the laws of Malaysia. Any disputes arising from them are subject to the jurisdiction of the courts of Malaysia.
Before initiating any formal proceeding, we encourage both parties to attempt resolution through direct discussion. Most disagreements can be addressed calmly and fairly if raised early. Please contact us at [email protected] to raise any concern.
12. General Provisions
- Entire agreement: These Terms and any written engagement letter together constitute the full agreement between us for the services described.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in effect.
- Waiver: Our failure to enforce any provision on a particular occasion does not waive our right to enforce it in future.
- Assignment: You may not assign your rights or obligations under an engagement without our written agreement.
- Notices: Formal notices should be sent by email to the addresses listed in these Terms or in the engagement letter.
13. Changes to Terms
We may update these Terms from time to time. Changes will be posted on this page with a revised effective date. For active engagements, we will notify you of any material changes before they take effect. Continued use of the website or services after a change is posted constitutes acceptance.
